M&A is our area of expertise. We have gained significant experience in not only typical corporate acquisitions (both by share transaction and asset transaction), but also acquisition of or from an insolvent company through judicial bankruptcy proceedings, corporate reorganization ("Kaisha Kousei"), and civil rehabilitation ("Minji Saisei").

We are known for our expertise in intellectual property rights such as patents, trademarks, and copyrights. We have represented numerous computer software/hardware companies and have advised our clients with respect to the licensing of computer games and the production of movie/animation films. Among others, we have successfully represented a major stock photo company in Japan, professional athletes and artists to protect their name and trademarks, a TV talent in a claim against his previous agency, and professional photographers to protect their copyrights.
In 2002, our attorneys successfully represented our clients in a breakthrough copyright case in Japan, known as the “Used Video Game Cases,” in which the Supreme Court of Japan first affirmed the “First Sale Doctrine” of the cinematographic works.
In Japan, patent and trademark prosecution are handled by Benrishi, or patent agents (patent attorneys). They are a different profession and often have their own patent firms. If necessary, we will refer such patent firms to our clients upon request.

We have gained expertise in information technologies, internet businesses, and telecommunications, including electronic payments and issue regarding with defamatory information on the Internet. Our attorneys do work for an NGO working for internet societies, and are members of committees of the Japanese government.

We have continuously represented physicians and hospitals in medical malpractice cases. We have also advised clients on the establishment of medical entities, operation of doctors’ or dentists’ associations, and other matters regarding hospital management. In addition, we represent pharmaceutical companies and medical/diagnosis equipment manufacturers. Corporate restructuring and facility closing necessarily require termination of employment. Japanese employment law is much more favorable towards employees than the common law because it does not recognize the employment at-will concept. We have provided advice on such employment matters for many foreign clients doing business in Japan.
